Lightower Fiber Networks to Acquire Lexent Metro Connect

Expands fiber footprint in New York City metro region to address surging demand for high-bandwidth connectivity and dark fiber

BOXBOROUGH, MA, September 14, 2010 —Lightower Fiber Networks, a leading metro fiber network and bandwidth service provider based in Boxborough, MA., announced today that it is acquiring Lexent Metro Connect, a leading provider of custom built dark fiber networks, headquartered in New York, NY.

With the acquisition of Lexent, Lightower expands its existing fiber footprint and customer base in the greater New York City region, including New Jersey. The addition of Lexent will add over 150 fiber route miles and over 200 commercial buildings to Lightower’s growing network. Lightower also adds low latency routes between critical New York City and New Jersey financial exchanges and data centers.

More Fiber, More Routes, More Local Access

The merger of the two networks supports Lightower’s mission of owning and operating a dense, next-generation fiber network that provides a complete portfolio of high-bandwidth services utilizing end-to-end fiber connectivity. The combined network increases Lightower’s last-mile fiber access into buildings in the greater New York area, including all of Manhattan, Brooklyn, the Bronx, and New Jersey.

Lightower’s current network is comprised of over 4,600 fiber route miles throughout Massachusetts, New Hampshire, Rhode Island, Connecticut, New Jersey, and New York including New York City. The Lexent network includes 150 route miles of fiber throughout New York City and New Jersey.

All Lexent customers will benefit from the addition of the complete suite of Lightower managed services including Ethernet, wavelengths, SONET, Internet access, and collocation. Lightower customers will gain access to Lexent’s dense network of fiber in New York and New Jersey for both dark fiber solutions and lit service solutions.

Lightower currently offers solutions comprised of Ethernet, dark fiber, WDM wavelengths, Internet access,SONET, and collocation services. Lexent currently offers custom dark fiber solutions.

Terms of the deal were not disclosed. The transaction is subject to regulatory approval and is expected to close in Q4 2010.

Lightower Fiber Networks is backed by M/C Venture Partners Pamlico Capital, and Ridgemont Equity Partners. GE Capital Markets and SunTrust Robinson Humphrey have fully committed to provide the required debt capital for the acquisition and will serve as Joint Bookrunners. GE Capital is acting as Administrative Agent. The Bank Street Group LLC served as the exclusive financial advisor to Lexent Metro Connect in connection with this transaction. The long haul route is directly accessible approximately every 60 miles within the Allied Fiber colocation facilities where equipment can be placed for regeneration, optical amplification as well as cross connects to DWM and Ethernet transport providers. Telecom M&A Activity Continues with Neutral Tandem’s Move to Acquire Tinet

September 9, 2010 after the market closing, Neutral Tandem a leading provider of interconnection services announced its agreement to acquire Tinet, a global carrier exclusively committed to the IP Transit and Ethernet wholesale market.

This is an impressive move that will transform both companies, already extremely well positioned in their respective areas.  Here are some key highlights to note:

-       Neutral Tandem, already with 14 PoPs for its Ethernet Exchange will immediately grow to nearly 99 global PoPs – making them the #1 Ethernet Exchange provider in the world

-       Tinet, already a Tier 1 backbone provider now becomes an Ethernet Exchange leader, able to leverage its globally robust end-to-end Ethernet network solutions

-       Leveraging the Tinet global Ethernet network, its global PoPs, Neutral Tandem’s Ethernet Exchange solution will be able to connect nearly any exchange company to other exchange companies connected from nearly any other locations

 Neutral Tandem to Acquire Leading IP Transit and Ethernet Company, Tinet SpA

Creates Global Network Enabling Delivery of Wholesale Voice, IP and Ethernet Solutions

Chicago, Illinois  and Cagliari, Italy, September 09, 2010Neutral Tandem, Inc. (NASDAQ: TNDM), a leading provider of interconnection services, announced today it has entered into an agreement to acquire Tinet SpA, an Italian based global carrier exclusively committed to the IP Transit and Ethernet wholesale market.  To acquire Tinet, Neutral Tandem will pay cash consideration of approximately 74.5 million euros (approximately $94.9 million), which reflects certain purchase price adjustments, the assumption of approximately 5.2 million euros in cash (approximately $6.6 million) and the assumption of approximately 18.2 million euros in long-term debt (approximately $23.2 million), which will be paid off at closing[1].  The combination will immediately expand Neutral Tandem’s IP-based network internationally, enabling global end-to-end delivery of wholesale Voice, IP and Ethernet solutions. The acquisition, to be financed by cash from Neutral Tandem’s balance sheet, is subject to various standard closing conditions and is expected to close during the fourth quarter of 2010.  After closing, Tinet will be a wholly owned subsidiary of Neutral Tandem.

The proposed acquisition is subject to customary closing conditions, and is expected to close during the fourth quarter of 2010. The transaction will also be subject to standard post-closing adjustments. Neutral Tandem expects the transaction to be immediately accretive to earnings per share in 2010, and anticipates providing updated financial guidance following the closing in conjunction with the Neutral Tandem third quarter 2010 earnings release. Global Telecoms Business 40 Under 40 To Meet in London to Discuss Industry Trends

In early 2010, Global Telecoms Business selected the top 40 leaders under 40 in the telecom industry. GTB chose these 40 individuals based on who the most exciting leaders in telecom are today and who will have an impact on the future. Among that list is Hunter Newby, CEO of Allied Fiber. As Allied Fiber is currently constructing a next generation dark fiber network throughout the United States, Hunter is well qualified as an exciting leader in the industry.

To culminate the honor of being selected for this award, on September 27-28, the forty individuals will gather in London for a summit and awards ceremony. LTE – The Middle Eastern Choice

The telecoms industry has been fiercely competitive over the last couple of years with WiMax and LTE slugging it out; both vying for popularity, business and bragging rights. And after trading heavy blows it seems the debate is won.     

As far as regional implementation, the Middle East and North Africa are favoring LTE’s mobile network technology.  Not too long ago WiMAX was leading the market towards becoming the 4G wireless technology of choice for mobile broadband.  Billions of Dollars were invested into producing mobile WiMAX but as telecoms’ biggest names switched their allegiances to LTE its popularity fell.

Etisalat, who have announced attendance at the NGT MENA Summit, completed LTE trials at the end of 2009.  They hope to launch by the end of the year, growing the 4G capabilities within the Middle East.  LTE is designed to increase the speed and capacity of mobile networks, with the committee – formed for NGT MENA – agreeing that LTE provides a more natural upgrade for network subscribers.

LTE is set to be the dawn of a new generation in mobile communications; it will be able to facilitate a device to device communication across mobile networks.  If LTE truly lives up to the hype, consumers will be able to use their mobile phone in the same way they use their desktop computer, creating a truly interactive experience.  But what will the result of fully evolved LTE have on business within the Middle East?

Already it seems that the Middle East is set to surpass Europe in the implementation of LTE.  Although the Middle East is seen as a smaller business market it closes the gap on Europe with its potential for growth.  Due to a lack of strong fixed broadband infrastructure and sufficient fixed competition a mobile internet service really is the future.  This has also been agreed by Etisalat – Paramjit Singh Sandhu, SVP Mobile Networks Quality & Performance , Batelco – Ebrahim Zainal, CTO , Vodafone Egypt – Jan Wuppermann, Director Strategy & Business Development and Zain Group – Cem Yolcu, Group Strategy Director  who make up the some of the members of the NGT MENA committee. 

 Now LTE has overtaken WiMAX in popularity, the Middle East can seize the opportunity to overtake Europe.  Now is the time for telecoms leaders to really drive their initiative and spread the LTE good word.  The Middle East has once again set itself as the place to invest for fantastic returns in business.

Battle of the sexes – Beauties make more than the Beasts

New research shows the earning power of women is on the rise – something that, the Most Powerful Woman in Television, Disney’s Anne Sweeney knows all about.

There’s good news for female workers this week with the news that the earning power of young women has now surpassed that of their male counterparts.

News of the shift, driven by the growing number of women attending college and moving into high-earning jobs, comes in the same week that MeetTheBoss.tv broadcasts an exclusive interview with Anne Sweeney, Co-Chair and President, Disney ABC TV Group: the so-called Most Powerful Woman in Entertainment.

According to The Hollywood Reporter (THR), the magazine who gave her that title, Sweeney presides over an “unrivalled magic kingdom of properties and more than 19,000 employees.”

In fact, according to THR’s 2009 Power List, Sweeney “remains an island of calm at the center of the entertainment industry storm.” And Sweeney exclusively told MeetTheBoss.tv the key to her success herself: “Don’t put barriers in front of you.”

While times have certainly changed for female workers in terms of pay equality, the concept of the glass ceiling hasn’t totally been eradicated. Yet, according to an analysis of Census Bureau data by Reach Advisors, a consumer-research firm from Slingerlands, NY, 2008 saw single, childless women between 22 and 30 earning more than their male counterparts in most US cities.

The survey goes on to suggest that women are succeeding for several reasons, including the fact they are more likely to attend college and therefore raise their earning potential.

Sweeney, meanwhile, who earned a BA degree from the College of New Rochelle and an Ed. M. degree from Harvard University, explains that “too many people fail because they think that have to look like they know it all,” before noting how she is always learning, every single day.

“I am so excited about my work,” says Sweeney, “and I tend to disregard all titles, even my formal titles, and just try to figure out what’s next. I never bought into, nor do I acknowledge the whole glass-ceiling thing.”
